1. Agreement to Terms

These Terms & Conditions (“Terms”) govern your use of SteadForm LLC’s website and consulting services (“Service”). By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part, please do not use our Service. These Terms apply to all clients, users, and visitors.


2. Definitions

  • “Company” refers to SteadForm LLC, operating under New Hampshire, USA.
  • “You” means the individual or entity engaging with the Service.
  • “Service” includes all services provided by SteadForm LLC, including but not limited to advisory, strategy, implementation, and support in digital transformation.


3. Services and Engagement

  • Services are delivered based on a written proposal or Scope of Work (SOW).
  • Proposals are valid for 30 days unless otherwise specified.
  • Engagement begins once a signed proposal is received from you.


4. Client Responsibilities

  • You agree to provide accurate, timely information necessary for service delivery.
  • You are responsible for all internal approvals, decisions, and actions needed to implement recommendations.


5. Intellectual Property

  • All materials, methodologies, and deliverables (excluding any client-provided content) are owned exclusively by SteadForm LLC.
  • You are granted a limited, non-exclusive license to use deliverables solely for your internal operations.


6. Feedback

  • Any feedback or suggestions you provide may be used by SteadForm LLC without any obligation or restriction.


7. Confidentiality

  • Each party agrees to keep the other’s confidential information confidential and not use it for any purpose other than fulfilling obligations under these Terms.


8. Fees and Payment

  • Fees are outlined in the agreed proposal.
  • Invoices are due within 30 days from the invoice date unless otherwise agreed.
  • Late payments may be subject to interest at the lesser of 1.5% per month or the maximum permitted by New Hampshire law.


9. Termination

  • Either party may terminate the engagement by providing written notice if the other party materially breaches these Terms and fails to remedy the breach within fourteen (14) days.
  • Upon termination, you will pay for all services rendered up to the termination date.

10. Limitation of Liability

  • To the fullest extent permitted by law, SteadForm LLC’s total liability for any claim shall not exceed the amount paid by you for services in the 12 months preceding the claim, or USD 1,000 if no fees were paid.
  • SteadForm LLC is not liable for loss of profits, data, or other indirect or consequential damages.


11. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of New Hampshire, USA, without regard to conflict-of-law principles.


12. Amendments

SteadForm LLC may modify these Terms at any time. Updated Terms will be posted on our website with a revised effective date. Continued use of our Service constitutes acceptance of the updated Terms.


13. Entire Agreement

These Terms, along with any executed proposal or SOW, constitute the entire agreement between you and SteadForm LLC, superseding all prior agreements.
